Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Paid to Breathe website, online community on SKOOL, and any products or resources made available through our platforms or other means (collectively, the "Services"). These Terms apply to all users of our Services.Please read these Terms carefully. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By registering for or using the Services in any manner, including visiting or browsing the Paid to Breathe website, you agree to these Terms and all other operating rules, policies, and procedures that we may publish from time to time through the Services. These may be updated periodically without notice to you.Arbitration Notice and Class Action Waiver: Except for certain disputes described in the arbitration section below, you agree that disputes between you and Paid to Breathe will be resolved by binding, individual arbitration, and you waive your right to participate in a class action lawsuit or class-wide arbitration.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement. If you are under 18, you may not use the Services under any circumstances.We reserve the right to refuse access to the Services to any person or entity and to change our eligibility criteria at any time.

3. Registration and User Accounts

To access certain features of the Services, you may need to register for an account ("Account"). When you register, you agree to:Provide accurate and complete information.Keep your Account information updated.Not share your Account or password with others.Notify us immediately of any unauthorized use of your Account.For Services licensed on a per-user basis, access is limited to the number of users for whom you have purchased licenses ("Users"). Each User must have a unique set of login credentials, which cannot be shared.

4.1. Services Provided Subject to these Terms, Paid to Breathe will use commercially reasonable efforts to make the Services available to you.
4.2. Content "Content" refers to all information, data, text, software, graphics, and other materials made available through the Services. All Content is owned by Paid to Breathe or its licensors. Use of the Content is at your own risk.
4.3. Restrictions You agree not to:Sell, lease, or sublicense the Services.Interfere with or disrupt the integrity of the Services.Copy or create derivative works based on the Services.Reverse engineer or attempt to extract the source code of the Services.Use the Services to build a competitive product or service.Use the Services in any manner that violates any applicable laws or regulations.
4.4. Availability We strive to keep the Services up and running; however, all online services suffer occasional disruptions and outages. Paid to Breathe is not liable for any disruption or loss you may suffer as a result.
4.5. Limitations We may impose limitations on the use of the Services, including limits on storage space, bandwidth, or the number of users.
4.6. Proprietary Rights All rights, title, and interest in and to the Services and Content remain exclusively with Paid to Breathe and its licensors.

5. User Data

5.1. Definition "User Data" means any information, data, or content that you upload, submit, or transmit to or through the Services.
5.2. License You grant Paid to Breathe a non-exclusive, worldwide, royalty-free license to use, copy, store, and process your User Data solely for the purpose of providing the Services.
5.3. Aggregate Data We may use aggregated and anonymized data derived from User Data for statistical analysis, improvement of the Services, and other business purposes.
5.4. Representations and Warranties You represent and warrant that:You have all necessary rights to submit User Data.Your User Data does not violate any laws or third-party rights. Your User Data does not contain any harmful code.
5.5. Data Security We implement reasonable measures to protect User Data. However, you acknowledge that no data transmission over the internet is completely secure.

6. Third-Party Services The Services may contain links to third-party websites or services that are not owned or controlled by Paid to Breathe. We have no control over and assume no responsibility for the content or practices of any third-party websites or services.

7. Payments and Billing
7.1. Fees Some aspects of the Services may require payment of fees. All fees are stated in U.S. dollars.

7.2. Billing We use third-party payment processors ("Payment Processors"). The processing of payments is subject to the terms and privacy policies of the Payment Processor. Paid to Breathe is not responsible for errors by the Payment Processor.

7.3. Chargebacks and DisputesIf you have questions about charges, contact us immediately. Unauthorized chargebacks may result in termination of your Account.

7.4. Free Trials and Promotions Any free trial or promotion must be used within the specified time frame.

8. Feedback Any feedback, comments, or suggestions you may provide regarding Paid to Breathe or the Services is entirely voluntary and we will be free to use such feedback as we see fit without any obligation to you.

9. Intellectual Property Policy We respect the intellectual property rights of others and expect users to do the same. If you believe that your work has been copied in a way that constitutes infringement, please contact us with the following information:
A physical or electronic signature of the copyright owner or authorized agent.Identification of the copyrighted work claimed to have been infringed.
Identification of the material that is claimed to be infringing.
Your contact information.
A statement that you have a good-faith belief that the disputed use is not authorized.A statement that the information is accurate and you are authorized to act on behalf of the owner.

10. Confidentiality You agree not to disclose Paid to Breathe's confidential information, including but not limited to business strategies, marketing plans, technical information, and customer lists.

11. Termination

11.1. By You You may terminate your Account at any time by contacting us or through the Account settings.11.2. By UsWe may suspend or terminate your access to the Services at any time, with or without cause or notice.

11.3. Effect of Termination Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that should survive termination shall survive.

12. Disclaimer of Warranties The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Paid to Breathe disclaims all warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability In no event shall Paid to Breathe, its affiliates, or their respective directors, employees, or agents be liable for:Any indirect, incidental, special, consequential, or punitive damages.Any loss of profits or revenues.Any loss of data or goodwill.Any damages exceeding the greater of the fees paid by you to Paid to Breathe in the twelve months preceding the claim or $500.14. IndemnificationYou agree to defend, indemnify, and hold harmless Paid to Breathe and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:Your use of the Services.Your violation of any term of these Terms.Your violation of any third-party rights.

15. Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Puerto Rico, without regard to its conflict of law provisions.

16. Dispute Resolution Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

17. Changes to the Terms We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting a notice on our website or by sending you an email.

18. Miscellaneous
18.1. Entire Agreement These Terms constitute the entire agreement between you and Paid to Breathe regarding the Services.

18.2. Severability If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.3. No Waiver Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18.4. Assignment You may not assign any of your rights under these Terms without our prior written consent.
